General terms and conditions of sale


1.      General

The following terms and conditions of sale apply to all orders and sales between the customers and BioSellal.

BioSellal reserves the right to modify these terms and conditions of sale at any time. BioSellal's failure to exercise its rights under these terms and conditions shall not be construed as a waiver of the right to invoke them at a later stage.

These terms and conditions shall prevail over any other general or special agreements not expressly approved by BioSellal.


2.    Product specificities

BioSellal may modify at any time the specifications of the products or services to comply with safety regulations or other applicable legal requirements.

The specific nature of the product (animal health product) must be emphasized. The customer acknowledges that he/she is informed of the characteristics of the product, its handling, storage, transportation, use, and its precautions for use. 

The customer undertakes to take all necessary measures to ensure that users have the skills and training required to use the products under safe conditions, following the laws and regulations in force.


3.    Delivery, ownership, and orders

All orders shall be binding on the customer who shall not cancel or modify them after having sent them to BioSellal.

All orders are subject to a written confirmation from BioSellal, which must be sent by any written means (email, mail, etc.).

All costs related to transportation and customs taxes are at the customer's expense.

BioSellal commits to respect the delivery time indicated on the order, if the products are available, and according to the applicable deadlines. All orders received before noon are processed the day they are received and delivered within 48 hours. The deadlines and dates are communicated to the customer only as an estimate.

In the case of a staggered delivery, a separate invoice for each delivery may be sent to the customer. Once an order is placed, it cannot be canceled. If the customer feels that it would be useful for BioSellal to delay the delivery date, he/she must contact the customer service to study a possible postponement of the delivery. 

The risk and responsibility for the products are transferred to the customer at the time of loading the products on our site. If a product is lost or damaged in transit, BioSellal will attempt to assist the customer in resolving the issue with the carrier. The customer has ownership of the products once full payment is made.


4.    Prices

The prices of the products and services are indicated on the quotation that BioSellal sends to its customers. If BioSellal does not send a quotation, the price applied will be the list price. 

BioSellal may modify its prices at any time.

Taxes, shipping, and handling charges will also be added to the invoice. For more information about our shipping policy, please contact the BioSellal customer service. 


5.     Terms of payment

Our invoices are payable within 30 days from the date of invoice in the currency indicated on our invoice.

If the customer does not pay on the due date, we can, without affecting our other rights, charge a penalty of €40 and 3 times the current interest rate.


6.    Installation-Complaint-Return

When an instrument is purchased, BioSellal can install it and provide training and any other services agreed upon between the customer and BioSellal. For further information on these services, please contact our customer service department. The customer must ensure that the working place of the instrument is safe.

Without prejudice to the arrangements to be made with the carrier, complaints about the product supplied must be made in writing within 5 days of the delivery date. Any return of the product must be agreed upon in writing between BioSellal and the customer. In case of apparent defect or non-conformity of the products, duly noted by the seller, under the above conditions, the customer will be able to obtain a free replacement after qualitative and quantitative verification of the returned products, excluding all indemnities or damages. Defects and deteriorations caused by poor handling, an inadequate location, or by an external accident, are not covered by BioSellal.

The return of a product, for whatever reason, shall be subject to its prior written agreement. In addition, the product must be returned in its original packaging and must not have been damaged.


7.    Other conditions

BioSellal shall not be liable if it is unable to execute this contract due to circumstances beyond its control. In certain situations, BioSellal may make a reasonable decision to split deliveries by sharing the available products equally among the different customers. 


8.    Entire Agreement

This contract represents the entire agreement between the customer and BioSellal for the products and services that BioSellal provides under this contract. It supersedes all previous agreements. BioSellal rejects any contractual terms and conditions contained in the Customer's purchase orders or similar documents.


9.    Jurisdiction 

This contract is governed by French law. All disputes shall be submitted to the French courts.
